Announcement of Disposal of own shares

METLEN Energy & Metals Α.Ε. (hereinafter the “Company” or the “Issuer”) announces to the investing public that on 18.06.2025:

• A total of 48,746 own common registered shares with a total value of €2,145,798.92, calculated based on the closing price of €44.02 on the previous day, were awarded for free. These shares had been acquired from 01.06.2020 to 20.03.2025 under and in accordance with the terms of the Company's own share acquisition program, which was approved by the Extraordinary General Meeting of shareholders on 27.03.2020, 23.03.2022, 10.04.2023, and 27.03.2024.

The aforementioned own shares, together with 217,000 new shares of the Company issued pursuant to a relevant decision of the Ordinary General Meeting of shareholders on 03.06.2025, were freely distributed to a total of 65 beneficiaries, senior and/or executive officers of the Company and its affiliated companies and/or persons providing services to the Company on a stable basis, within the framework of the implementation of the Long-Term Program for Free Distribution of Shares of the Company, as approved by the Annual General Meeting of shareholders on 15.06.2021 and as amended by the Annual General Meeting of shareholders on 04.06.2024, in accordance with the provisions of article 114 of law 4548/2018 in conjunction with article 49 of the same law.

• 235,295 own shares were transferred as part of the agreed consideration for the already announced share acquisition of the company WATT+VOLT - “Watt and Volt Anonymous Company for the Exploitation of Alternative Forms of Energy.”

Following the aforementioned disposals, the Company holds a total of 2,753,206 own shares, representing 1.924% of its total share capital.
